Terms of Service
These Terms of Service (“Terms”) govern your use of the Lantern Sol website (lanternsol.com) and your engagement of services from Lantern Solutions LLC, located at 7275 Willowood Drive, Cincinnati, Ohio 45241. By using our website or engaging our services, you agree to these Terms. Signed client agreements control over these Terms where they conflict.
1. Services
Lantern Sol provides digital services including website design and development, e-commerce (Shopify) builds and migrations, SEO, paid media, email marketing, and related services. The specific scope of any engagement is defined in a signed agreement and Statement of Work (SOW). We apply professional best efforts and industry-standard best practices to all work.
2. Client Responsibilities
Clients agree to provide all necessary materials, content, brand assets, feedback, and access credentials in a timely manner. Project timelines are estimates based on receiving complete assets and information at kickoff. Client delays extend timelines but do not alter payment amounts or scheduled payment dates. We are not responsible for delays caused by a client’s failure to provide required information.
3. Payment Terms
Unless otherwise specified in a signed agreement: a 50% deposit is due upon signing, with the remaining 50% due at project completion. Deposits are non-refundable. If a project timeline extends beyond two weeks due to client-side delays, the final payment is due based on the original project timeline end date. Payments more than 14 days late incur a 5% monthly interest fee. If collections become necessary, the prevailing party is entitled to recover reasonable attorney’s fees and court costs. Clients are responsible for direct payment of all third-party platform fees (e.g., hosting, domains, Shopify apps, third-party subscriptions).
4. Review and Acceptance
Clients have five (5) business days to review deliverables. If no written feedback is received within this period, deliverables are deemed accepted as complete. Subsequent changes are billed as new work.
5. Intellectual Property
Upon receipt of full payment, deliverables created specifically for a client become the client’s property. Lantern Sol retains ownership of pre-existing tools, processes, and materials, and all content on this website (text, graphics, logos, designs), which may not be reproduced without written permission. We may display completed work in our portfolio unless otherwise agreed in writing.
6. No Guarantee of Results
All services are provided “as-is” on a best-efforts basis. Due to the evolving nature of digital platforms and third-party algorithms (e.g., Google, Meta), we do not guarantee specific results, rankings, traffic, or financial returns.
7. Limitation of Liability
Lantern Sol will not be held liable for any damages resulting from the use of our services or this website, including but not limited to lost profits or loss of data. Our total liability for any claim is limited to the total amount paid by the client for the applicable project. In no event shall Lantern Sol be liable for any loss of business, loss of revenue, lost profits, loss of data, business interruption, or any indirect, incidental, special, consequential, or punitive damages, even if advised of the possibility of such damages.
8. Termination
Either party may terminate an engagement with 14 days’ written notice. The client remains responsible for payment for all work performed through the termination date, plus a 25% early termination fee based on the remaining project balance.
9. Acceptable Use of This Website
You agree not to misuse this website, attempt to gain unauthorized access to our systems, or use our content or forms for spam, scraping, or unlawful purposes.
10. Governing Law
These Terms are governed by the laws of the State of Ohio. Venue for any dispute shall be in Hamilton County, Ohio.
11. Changes to These Terms
We may update these Terms from time to time. Continued use of the website or our services constitutes acceptance of the updated Terms.
